Terms and Conditions

1. General Provisions

1.1. Purpose of the Document: This document establishes the Terms, Conditions, and Rules for using the web platform Yoauto.md (hereinafter referred to as the "Platform"), operated by the company S.R.L. "YOAUTO", IDNO 1026607000352, registered office: MD-2072, Chisinau municipality, 28 Nicolae Titulescu str., office 21, Republic of Moldova.

1.2. Age Restriction: The services of the Platform, including account creation and the acquisition of digital accounting units known as "Energy", are intended exclusively for individuals who have reached the age of 18.

1.3. Amendment of Terms: The Administration reserves the right to update these Terms at its sole discretion. Users will be notified of material changes through the Platform's interface. Continued use of the Platform after changes come into effect constitutes full acceptance thereof.

2. Platform Status, Limitation of Liability, and Force Majeure

2.1. Technological Intermediation: Yoauto.md acts exclusively as a technological intermediary (information platform). The Platform is not a party to, an agent of, or a beneficiary of any contracts or transactions concluded between sellers and buyers of vehicles.

2.2. Disclaimer of Content Warranties: Yoauto.md does not assume any responsibility for the veracity or accuracy of information contained in advertisements, the technical condition, hidden defects, quality, or the legal origin of the vehicles listed.

2.3. Force Majeure and Technical Disruptions: The Platform is exonerated from liability for the total or partial unavailability of its services caused by circumstances of force majeure or factors outside its direct control (including DDoS attacks, critical disruptions of backbone internet service providers, critical errors in third-party software, or regulatory restrictions imposed by public authorities).

2.4. Informational Status of Insurance Services: Yoauto.md is not an insurance intermediary, broker, agent, or assistant. The Platform exclusively performs the function of hosting information and technological interfaces (widgets/iframes) belonging to its partner, Q Asig. All requests, premium calculations, policy issuances (RCA, CASCO), and payment collections are performed directly on the side of and under the sole responsibility of the partner Q Asig. The Platform does not accumulate, collect, or transit insurance premiums through its bank accounts.

3. Rules of Publication and Moderation

3.1. Responsibility for Content: The User bears personal, exclusive, and full legal liability for any added content (including texts, photographs, VIN codes, and technical data).

3.2. Prohibited Actions: It is strictly forbidden to publish knowingly false or duplicate advertisements, sell vehicles of illegal origin (including those under arrest, encumbered, or reported stolen), manipulate prices, engage in spamming, or place links directing to competing third-party resources.

3.3. Rights of the Administration: The Administration reserves the right to edit, temporarily block, or permanently delete any advertisement or account upon reasonable suspicion of violation of these Rules or the current legislation of the Republic of Moldova.

4. Indemnification

4.1. B2B Warranties and Indemnity: Professional profile users (Auto Dealers / B2B Accounts) agree to fully protect, hold harmless, and indemnify S.R.L. "YOAUTO" against any direct or indirect damages, fines from regulatory authorities, legal expenses, or costs resulting from third-party claims arising out of the content or actions of the respective user on the Platform.

5. Intellectual Property and Prohibition of Scraping

5.1. Rights to the Platform: All content on the Platform, including interface design, source code, graphic elements, logos, and database structures, constitutes the exclusive intellectual property of S.R.L. "YOAUTO".

5.2. Prohibition of Automated Data Collection (Scraping): Automated collection of data (including parsing, web-scraping, crawling, or utilizing AI scripts for data extraction) without the prior, express, written consent of the Administration is strictly prohibited.

5.3. Legal Status of VIN Reports: Any structured report or data set generated during the VIN code verification process on the Platform belongs to Yoauto.md. The user receives the right to view this data exclusively for personal, non-commercial purposes, without any right of resale or public distribution.

6. Data Import Tool (User-Driven Import)

6.1. Technical Nature of the Function: The Platform provides a technical solution for the automated, preliminary pre-filling of advertisement fields based on an open URL address provided solely by the User.

6.2. Initiation and Rights: The User is the sole initiator, controller, and entity executing the data transfer. By using this function, the User guarantees that they possess all necessary rights, permissions, and licenses for the imported content.

6.3. Exoneration from Liability: Yoauto.md bears no responsibility for any violations by the User of the rules, terms, or patents of third-party platforms and websites during the utilization of the data import tool.

7. "Energy" Digital Unit System and Financial Policy

7.1. Legal Nature: Internal "Energy" units are exclusively digital markers for recording the volume of prepaid services on the Platform. They do not possess the status of electronic money, fiat currency, or cryptocurrency. All settlements on the Platform and conversions of package values are executed in the national currency of the Republic of Moldova — Moldovan Lei (MDL).

7.2. Circulation Restriction: "Energy" units are strictly linked to a specific user account and are non-assignable, non-saleable, and non-transferable to third parties.

7.3. Return Policy and Right of Withdrawal: Users acting as individual consumers have the right to request a refund for an acquired "Energy" package within 14 calendar days from the moment of transaction, provided that the acquired units have not been utilized. If the package has been partially used, the refund is executed proportionally to the unused balance of "Energy", whereby the cost of used units is recalculated based on the Platform's standard base (non-discounted) tariff.

7.4. Lock-in of Funds: Upon expiration of 14 days from the date of purchase, or upon full utilization of the package, the provision of the digital service is considered fully executed with the user's explicit consent. From this moment, paid amounts become non-refundable to the payment card and remain on the account balance for internal use within the Platform.

7.5. Inactivity, Retention Periods, and Crypto-shredding:

• a) If no activity (authorizations, publications, transactions) is registered in the account for 36 consecutive months, the unused "Energy" balance is canceled for the purpose of correct accounting and financial period closures.
• b) After 48 months (4 years) of total inactivity, the user account is subject to automatic deletion. Personally Identifiable Information (PII) is irreversibly destroyed using the crypto-shredding method (deletion of access keys within PIIVault).
• c) Tax Accounting Exception: Transaction records, balances, and fiscal operation data are depersonalized and stored in an encrypted archive for 5 (five) years solely to comply with the statutory requirements of the Republic of Moldova regarding accounting and tax control.

7.6. Sanctions for Account Blocking due to Violations:

• a) Physical Persons (Individual Consumers): In case of blocking for fraud or spam, account access is restricted. The remaining "Energy" balance can be refunded exclusively based on an official written application of the user, stating their personal bank account details (minus any applicable bank transfer fees).
• b) Commercial Accounts (Dealers / B2B): The unused "Energy" balance at the time of blocking is retained by the Administration as fixed liquidated damages (contractual penalty) to cover expenses for moderation, administration, internal investigations, and mitigation of reputational damage to the Platform, without the necessity of proving the scope of the damage in court.

7.7. Conditions and Methods of Payment:

• a) For Physical Persons: Payment for "Energy" digital unit packages is made online. Secure payments are processed via integrated payment gateways and can be executed using Visa and Mastercard bank cards, as well as payment solutions and electronic wallets provided by Paynet.

• b) For Professional Users (Dealers / B2B): In addition to online methods, payment via bank transfer (transfer bancar) is available on the basis of an issued invoice (factură de plată). Allocation of "Energy" units to the account balance is processed immediately following the successful receipt of funds into the bank settlement account of S.R.L. "YOAUTO".

8. Governing Law and Jurisdiction

8.1. Applicable Law: These rules are governed by and construed in accordance with the current legislation of the Republic of Moldova.

8.2. Dispute Resolution: The parties shall take all reasonable measures to resolve any disputes amicably. In case an agreement cannot be reached:

• Disputes involving professional users (Dealers/B2B) shall be resolved exclusively within the competent judicial courts of Chisinau municipality.
• Disputes involving individual consumers (physical persons) shall be resolved by competent courts in compliance with the mandatory imperative norms of the legislation of the Republic of Moldova on consumer rights protection.
