Terms and Conditions

1. General Provisions

1.1. This document establishes the Terms, Conditions, and Rules for using the Yoauto.md web platform (hereinafter referred to as the "Platform"), managed by the company S.R.L. "YOAUTO", IDNO 1026607000352, with its registered office at MD-2072, 28 Nicolae Titulescu str., ap.(of.) 21, Chisinau municipality, Republic of Moldova.

1.2. Age Limit: Platform services, including account creation and purchasing digital "Energy" units, are exclusively intended for persons who have reached the age of 18.

1.3. Modification of terms: The Administration reserves the right to update these Terms and Conditions. Essential modifications will be notified to users via the Platform. Continued use of the Platform after changes have been applied signifies acceptance of the new conditions.

2. Platform Status, Limitation of Liability, and Force Majeure

2.1. Yoauto.md acts purely as a technological intermediary. The Platform is not a party to the contracts and transactions concluded between sellers and buyers.

2.2. Yoauto.md is not responsible for the accuracy of information in listings, the technical condition, quality, or legal origin of the vehicles.

2.3. Force Majeure: The Platform is exempt from any liability for service downtime caused by circumstances beyond its direct control (e.g., DDoS cyber attacks, internet provider failures, or authority decisions).

2.4. Insurance intermediation: Yoauto.md serves exclusively as an intermediary platform and bears no liability in any form regarding brokerage activity, issuance of CASCO, RCA, or other types of insurance policies. The receipt, processing, and execution of insurance requests placed through the Yoauto.md platform are the full obligation and responsibility of the partner Q Asig.

3. Rules for Publishing Listings and Moderation

3.1. The User bears personal and exclusive responsibility for the added content (texts, photos, technical data).

3.2. It is strictly prohibited to: publish false listings, sell vehicles with illegal origins, manipulate prices, or send spam.

3.3. Right to moderation: The Administration may edit, block, or delete any listing or account in case of a well-founded suspicion of violation of the Rules or the legislation of the Republic of Moldova.

4. Indemnification Clause

4.1. The User with a professional profile (Car Dealer / B2B Account) agrees to protect and fully indemnify S.R.L. "YOAUTO" for any damages, fines, or costs resulting from any claim initiated by a third party due to the actions or content published by them on the platform.

5. Intellectual Property and Prohibition of Scraping

5.1. All Platform content, including design, source code, logos, and structured databases (including VIN reports), is the exclusive intellectual property of S.R.L. "YOAUTO".

5.2. Prohibition of Scraping: Automated data collection (parsing, web-scraping, crawling) without the Administration's prior written consent is strictly prohibited.

5.3. VIN Ownership: Any report or data structure resulting from the VIN code verification process belongs to the Platform. The User has the right to view this data exclusively for personal purposes.

6. Data Import Tool (User-Driven Import)

6.1. The Platform offers a technical solution for pre-filling listings via a URL provided by the User.

6.2. Responsibility: The User acts as the sole initiator of the data transfer. By using the function, the User guarantees that they hold the rights to the transferred content.

6.3. Exemption: Yoauto.md is not responsible for any violations of third-party platform rules by the User during the data import process.

7. "Energy" Digital Units System and Financial Policy

7.1. System nature: "Energy" is exclusively a digital unit of measurement used for purchasing prepaid services on the Platform. It is NOT electronic money or cryptocurrency.

7.2. Non-transferability: Units are strictly personal and cannot be transferred to another user.

7.3. Right of withdrawal (14 days): The User (natural person) has the right to request a refund for the "Energy" package within 14 calendar days from the transaction date, provided that the purchased units have not been used at all (not even partially).

7.4. Service provision and fund locking: Once the User has used at least one "Energy" unit to pay for a service on the site (e.g., publishing, promotion) or after the 14 days have expired, the provision of the digital service is considered initiated with the user's consent. From that moment, the amounts paid become non-refundable to the bank card, and the funds remain in the internal account to be used by the user at any time.

7.5. Validity period and inactive account deletion: To ensure proper financial and accounting records, if an account shows no activity (logins, posts, transactions) for 36 consecutive months, the unused "Energy" balance expires and is automatically canceled without the right to financial compensation. In compliance with the Moldova Personal Data Protection Law No. 195/2024, after 4 years (48 months) of complete inactivity, the user account is subject to permanent deletion. Associated personal data is destroyed via crypto-shredding (deletion of keys in PIIVault), making account recovery or balance compensation physically impossible.

7.6. Penalties for account blocking: In case of account blocking for fraud or serious violation of the rules (e.g., spam):

• a) For individual accounts (consumers), access is restricted, and any unused "Energy" balance may be refunded exclusively based on an official written request sent to the administration, containing the bank details necessary for the transfer (with associated bank commissions withheld).
• b) For commercial accounts (Dealers / B2B), the unused balance is irrevocably retained by the Platform as a penalty clause (contractual penalty) to cover reputational damage.

8. Applicable Law and Jurisdiction

8.1. These rules are governed by the legislation of the Republic of Moldova.

8.2. Any disputes will be resolved amicably. In case an amicable resolution is impossible:

• Disputes with professional users (Dealers/B2B) will be resolved exclusively by the competent courts in the Chisinau municipality.
• Disputes with individual users (consumers) will be resolved by competent courts in accordance with the mandatory provisions of consumer protection legislation.
